Bidders must submit a written bid to Seller's counsel on or before the close of business on May 22nd, 2019, and must demonstrate the financial ability to close on the transactions contemplated by Agreement and perform all of the obligations hereunder.  At a minimum, such information shall include current financial statesments and a letter from such party's bank or financial institution which confirms such party's financial strength.  PLEASE CALL (303) 934-8322 or email for copy of the Agreement.

Each written bid shall contain not only the offered Purchase Price of no less than $ 650,000.00, but also the email and telephone number of the bidder for contact on May 24th, 2019 at 10:00AM MST.

Each qualified bidder of $ 650,000.00 or higher will be allowed to participate on May 24 to increase its bid. Bidding shall continue until fifteen (15) minutes, as announced and timed by Seller, has elapsed without a new bid being made by the bidders in order of right to bid. Any overbid submitted must be in the increments of $ 25,000.00.

In the event one or more subsequent qualifying bids are made, the last and highest such subsequent qualifying bid shall be deemed the successful bid (the "Successful Bidder").  In order to qualify as the Successful Bidder, such person shall executive this Agreement with only the Purchase Price and buyer changed, and then such person shall be deemed the "Buyer" of the Purchased Assets.  PLEASE CALL (303) 934-8322 or email for copy of the agreement.


The Closing shall be held no later than May 29th, 2019 at the offices of seller's counsel in Denver, CO.  In the event the conditions to Closing have not been satisfied or waived by the Outside Date, then any party who is not in default hereunder may terminate this Agreement.  Until the Agreement is either terminated or the Closing occurs, the parties shall diligently continue to work to satisfy all conditions to Closing and the transactions contemplated shall close as soon as such conditions are satisfied or waived.

At the Closing, Seller will furnish a Bill of Sale and any such documents or other things reasonable contemplated to be delivered by Seller to the Buyer at closing.

The assets are currently located at 2430 Research Parkway, Suite 105 in Colorado Springs, Colorado and are in the possession of the Landlord.  The right to possession of the purchased assets shall transfer to Buyer on the Closing Date, and Buyer shall make arrangements with Landlord to remove such equipment at Buyer's expense from the existing location within ten (10) days of the Closing Date, and shall repair any damage done to the existing location caused by such removal and shall indemnify Seller for any claims of Landlord related to damgae caused by such removal.
